Lordicon API Terms and License

THE PARTIES ARE:

Lordicon Sp. z o.o. (limited liability company) with its registered office at ul. Podwale 62/313, 50-010 Wrocław, Poland, incorporated under the laws of Poland and registered in the companies register of the National Court Register held by District Court for Wrocław-Fabryczna in Wrocław, VI Commercial Division of National Court Register (Sąd Rejonowy dla Wrocławia-Fabrycznej we Wrocławiu, VI Wydział Gospodarczy KRS) under (KRS) no. 0000975713, having EU VAT ID: PL8992927559 and the share capital in the amount of 40 000 PLN,

further referred to as: “Lordicon”

AND

The party that uses Lordicon’s Services

further referred to as: the “User” or “you”

1. Introduction

1.1. This Lordicon API Terms and License („API Terms”) comprise a legal agreement between Lordicon and you based on which you are entitled to access and use the Lordicon application programming interfaces (the “APIs”), any related documentation to them, and Lordicon’s license to authorize End-Users to use icons downloaded or displayed through this API.

1.2. By clicking "I Agree" or using the Lordicon API, you acknowledge that you have read, understand, and agree to be bound by these API Terms and the accompanying license.

1.3. These API Terms, together with API Documentation, API Guidelines, and any other documents provided to you by Lordicon are incorporated into the Lordicon Terms of Service (together with the Lordicon Privacy Policy). If there is any contradiction between these API Terms and the Lordicon Terms of Service, then these API Terms will take precedence with respect to the contradicting terms, but solely regarding your use of the APIs. For anything not covered in the API Terms, the Lordicon Terms of Service will apply.

2. Definitions

2.1. Those capitalized terms not defined herein shall have the meaning given to them in the Lordicon Terms of Service.

  • “API section” means a specific section in the administration panel on the Lordicon Platform where the API User is provided with all information about access to the Lordicon API.
  • “Applicable Data Privacy Laws” means all the laws and regulations relevant to the collection, processing, and storage of data, i.e. all the data protection laws, including the General Data Protection Regulation (EU) 2016/679 (“GDPR”) and the California Consumer Privacy Act i.e. California Civil Code Section 1798.100 et seq. (“CCPA”).
  • „Developer App” means an application, solution, or service owned and distributed by API User that incorporates, accesses, or uses Lordicon API.
  • “Final Product” is an end project or the final design of the End-User which includes the incorporated icon and can be downloaded by the End-User from the Developer App.
  • „Request” means an API call made by the API User to the Lordicon API, which can include actions such as fetching download URLs, accessing icon libraries, or retrieving usage statistics.
  • “Tracking Downloads” means the statistic that the API User is obliged to set when the icon is used by the End-user, to inform Lordicon on downloading that icon.
  • „End-User” is the end user of an internet connected device, such as a visitor to a web page of the API User or a user of the Developer App.

3. Access and Plans

3.1. Lordicon offers temporary download links upon API User’s request. These links let the API Users cache and host icons on their servers. The API can be integrated into developer apps, like website builders or design tools, to include icons in End-User creations.

3.2. To access the API, you need an Account on the Lordicon Platform (either free or PRO) and to accept the Lordicon Terms of Service.

3.3. In the API section, you can manage your API integrations and read the documentation and guidelines provided by Lordicon for using the APIs. Additionally, all statistics and tokens used to run the API in the Developer App are available to the API User in the API section.

3.4. The number of available Requests depends on how Lordicon qualifies the User's application. Free users get fewer requests than PRO users. Lordicon can change those amounts at any time at its sole discretion and this does not constitute a change of the API Terms. The most up to date limits are available within the API Documentation.

3.5. Any User can access the demo API without verification. It offers free icons but has a very low request limit and is intended for testing purposes only. Lordicon reserves the right to revoke access to the demo API at any time and for any reason, without any liability.

3.6. You shall submit the application form for your project, which will be reviewed by Lordicon, and the access to API is granted at the sole discretion of Lordicon. For successful review, all conditions set out by Lordicon shall be accepted including these API Terms. You are also obliged to provide all application details requested by Lordicon and fulfill Lordicon’s guidelines regarding integration, library panel design, customization, tracking downloads, and attribution. If your application does not clearly meet all of the guidelines, it will likely be rejected until you provide clear examples of all of the guidelines being met.

3.7. To receive full access to the FREE or PRO API plan, the API User must apply for verification of the submitted project. To do this, the API User has to choose their API plan first and then follow all the steps from the checklist provided by Lordicon.

3.8. FREE API plan includes unlimited access to all free icons subject to the following provision. In general, our API has a limit on the number of Requests it can handle. However, this limit is set very high, so it is unlikely to be overloaded. The application using the FREE API and verified by Lordicon may receive an even higher limit if the API User requested it and this is accepted by Lordicon.

3.9. PRO API plan includes unlimited access to all paid icons and generally unlimited Requests. Any information regarding Requests limits is described in the API Documentation and limits may be particularly applicable in case of failure to limit non-standard and excessive load on Lordicon servers.

3.10. One project of the API User can be covered simultaneously by FREE and PRO API plans if the Developer App offers both paid and free services to its End-Users. In this case, the API User’s Account does not need two API services integrated.

3.11. Lordicon will prepare and make available to the API User reports including the number of Tracking Downloads. These reports are available in the API section and are the sole basis for settlements between the Parties.

3.12. The limits and other information on Requests are available in the API documentation.

3.13. API User can check the status of the Requests on their own by using HTTP.

**3.14. The API User is not allowed to negatively impact or manipulate the number of Tracking Downloads in any way. This may include selectively utilizing the Tracking Downloads based on the End User's location, status, or activity. **

3.15. Lordicon has the right to verify the proper implementation of Tracking Downloads or Requests. An identified fraud attempt or fraud committed may result in the immediate termination of API access.

3.16. The API User must implement Tracking Downloads when distributing icons, ensuring that each used icon triggers an event. Reporting is required when an icon is embedded, duplicated, or modified within a project. However, previewing, displaying already reported icons, or making changes without final use does not require reporting. The 4.2 section provides detailed conditions when starting Tracking Downloads is required.

4. API License Conditions

4.1. The Lordicon API is intended for use in non-automated, authentic, and high-quality Developer Apps. The API User and the Developer App CANNOT replicate the Lordicon’s core user experience, which includes:

  • (i) Sublicensing, selling or distributing raw static or animated icons that are not a part of the content you provide through the Developer App and especially are not a part of the Final Product (e.g. creating dedicated plugins for End-Users to directly download icons in any format is forbidden).
  • (ii) Using the API to sell unaltered Lordicon’s icons directly (e.g. as icons library) or indirectly (e.g. with the aforementioned use of any kind of plugins).
  • (iii) Selling, licensing or distributing Final Products in such a way that End-User or other persons or entities are allowed to extract or access the icons as stand-alone files.
  • (iv) distributing, posting, or uploading the icons online in a downloadable format.

4.2. In accordance with the API Guidelines, the API User must integrate Tracking Downloads along with icon distribution. When the End-User of the Developer App uses an icon, it shall trigger an event to the Tracking Downloads endpoint. Therefore, the User will need to create a list of icons that will be used by the End-User. Each icon added to the list will be one tracking download, and such a list will be created once for all End-Users. Neither the API User nor the End-User may use the icons in any way that infringes on any copyright, trade name, trademark, or service mark. The exact cases when reporting is required are listed below.

4.2.1 Actions that require reporting of download:

  • (i) The application processes the icon and continues to serve it as part of its functionality.
  • (ii) The End-User decides to embed the selected icon in a document, project, or artboard.
  • (iii) The End-User embeds the previously embedded icon, but e.g. with a different color scheme or animation type, into a document, project, or artboard.
  • (iv) A user of the application reused the same icon in the same project, even if its use had already been reported. For example, the End-User duplicates a previously added icon in the same document, project, or artborad or decides to move it to another document, project or artborad (copy/paste functions).

4.2.2 Actions that do not require reporting of download:

  • (i) The End-User previews a list of icons in the application interface to make a specific selection.
  • (ii) The End-User or their guests invited to a document, project or artboard display an already reported icon in that document, project or artboard.
  • (iii) The End-User selects an icon or changes its color or animation but ultimately does not use them in the project.

4.3. Subject to your compliance with these API Terms, all icons are provided through the API pursuant to the licenses determined in the Lordicon Terms of Service, except that you additionally have the right to sublicense your rights to icons that are made available to you through the APIs to End-Users within a scope no wider than the license specified in the relevant provisions of the Lordicon Terms of Service and these API Terms.

4.4. Lordicon may at any time change the specifications of or restrict or limit access to the APIs in Lordicon’s sole discretion, without any liability to you, except the possible refund for PRO API plan. In this case, Lordicon will notify you about the changes and in case they restrict or limit access to the APIs, you have a right to terminate the Agreement within 14 (fourteen) days from such notification. Otherwise, you are assumed to accept the changes.

4.5. Lordicon may set a limit on your Developer App’s usage of any APIs if it considers the usage excessive (including the Requests number), especially when such usage may be caused by bots, malware, or other malicious or harmful programs or viruses. You shall not attempt to exceed or circumvent those limit restrictions, nor shall you access Lordicon API through automated or non-human means, whether through a bot, script, or otherwise. Lordicon may specify additional requirements relating to usage limits. Lordicon may also decide, in its sole discretion, to charge a technology fee to certain businesses, including businesses that heavily interact with the API or that Lordicon anticipates will heavily interact with the API. In such cases, Lordicon will reach out directly to you in writing to negotiate such a fee and you understand and agree that your business’ use of the API is conditioned on payment of such technology fee.

4.6. The API license is valid for the duration of the relevant API Plan subscription period. This means that icons can be downloaded through the API as long as an active API license is maintained. Icons already obtained through Lordicon’s API and incorporated into the downloaded Final Products can be used according to the licenses stated in the Lordicon Terms of Service for free and paid icons.

5. Attribution

5.1. Notwithstanding anything in the Lordicon Terms of Service to the contrary, each time your Developer App displays the icons, it has to attribute Lordicon according to the terms below. Lordicon’s name and logo are registered trademarks. Additionally, such attribution is always demanded ​for any Final Product that uses icons in case the API User uses free icons in the FREE API plan. You should provide such attribution in any Final Product without the End-User taking any additional steps and clearly stipulate in your terms and conditions that such attribution cannot be removed by the End-User. The API User of the PRO API plan does not have to attribute Lordicon icons (either free or pro ones) within Final Products provided to End-Users.

5.2. In the place where the End-User selects icons in the Developer App, the Lordicon library shall be properly attributed and linked with the name or logo of Lordicon. Additionally, such attribution is always demanded for any Final Product that uses icons whether the API User utilizes FREE or PRO API plan.

5.3. Subject to the provisions above, the Developer App and the API User cannot use Lordicon’s logo or be named similarly to Lordicon. Especially the API User cannot use the ‘Lord’ word in the Developer App’s name or their business name. The Developer App shall also look visually distinct from the Lordicon Platform.

5.4. Subject to your full compliance with these API Terms and any other Lordicon’s guidelines regarding trademarks made available by Lordicon to you, Lordicon hereby grants you a limited, personal, non-sublicensable, non-transferable, non-exclusive, revocable license to use the Lordicon’s name and logo in your Developer App. You may not:

  • (i) Use the Lordicon’s name and logo in any manner that creates a false suggestion, either directly or indirectly, that your Developer App is sponsored by Lordicon or is a part of the Lordicon enterprise or an entity related to Lordicon.
  • (ii) Alter or use Lordicon’s name and logo in a misleading way, e.g. use it in your Developer App in a more prominent manner than the logo or mark that primarily describes the Developer App.

5.5. Lordicon has the right to verify the proper attribution of its marks in your Developer App and you are obliged to make necessary changes if the quality or the way of use of Lordicon’s name or logo is not satisfactory to Lordicon in its sole discretion.

6. Obligations of the API User

6.1. You agree that any information you provide to Lordicon (including application details of the Developer App e.g. using icons in a different way than originally reported) shall always be accurate and up to date, and you shall promptly make updates as needed via email api@lordicon.com. Any changes to the Developer App that cause the previously accepted application details to differ from the current ones may result in suspension of API services or immediate termination of the Agreement by Lordicon.

6.2. You have to only access (or attempt to access) the API by the means or in a way described in these API Terms, including in accordance with the documentation and guidelines provided by Lordicon in the API Section. You are only allowed to link the API with your Developer App approved priorly by Lordicon as you cannot link API to any third-party products or services or other applications. You also cannot adversely impact the availability, reliability, or stability of Lordicon API or Lordicon’s Services.

6.3. You are obliged to keep safe all access keys to the API and are fully responsible and liable for all activities that occur through the use of any of your credentials to the Account and the API. It means that your Token must remain confidential which may require you to take additional measures to protect them (such as using a proxy and enabling two-factor authentication).

6.4. You are obliged to enable two-factor authentication to ensure additional authentication is required for login.

6.5. To use the icons via API, the Developer App shall not require End-Users to register the Account on the Lordicon Platform or access the Lordicon API through such Account.

8. Payments

8.1. The API User can purchase the PRO API plan to use icons via the Lordicon API using the Paddle's services. Before entering into the Purchase agreement with Paddle (i.e. Lordicon's reseller), you are obliged to accept its terms and conditions, which are made available to you before payment.

8.2. The duration of the PRO API Plan and its prices are indicated at the Lordicon Platform (in the API section). The API User pays a fixed fee for the number of downloads indicated by Lordicon and a separate fee for each additional download (a separate fee does not apply to downloads of icons marked as FREE).

8.3. The API User can make a payment after its application for the PRO API Plan is successfully verified and accepted. The payment of a fixed fee is made as a pre-payment at the beginning of each month of using Lordicon’s API. Additionally, generated downloads are paid separately in arrears at the beginning of the next month of using the API based on Lordicon’s reports.

8.4. The API User is obliged to choose a payment method and indicate their business credit card details. If the API User chooses the consumer card instead of a business credit card, the API User undertakes to repay Lordicon all costs, expenses, or lost benefits connected with payments made by a consumer card as well as waives their right to claim damages, especially in the amount of commission paid in the higher amount that stated in the relevant law provisions. The API User also authorizes Lordicon’s reseller – Paddle, to charge relevant amounts from their credit card.

8.5. Subscription is renewed automatically, and the subscription fixed fee as well as the fee for additionally generated downloads, will be charged on a monthly basis according to the payment method chosen by the API User. The API User has to terminate the Agreement before it renews in order to avoid billing for the next period.

8.6. API access shall only be granted after successful payment. After a failed payment, the API User will have 30 (thirty) days to update their payment method. After this term, access keys to API shall automatically cease, and in order for the API User to again use the FREE API Plan, the API User shall re-submit the project for verification and then select the FREE API plan. This means that when your PRO API plan access keys expire, the PRO API plan does not automatically downgrade to the FREE API plan.

8.7. Following a failed payment, Lordicon may also suspend your access to the API until you update your payment method and pay all amounts due.

9. Intellectual Property

9.1. API User shall not use Lordicon’s API in any manner or in connection with any content, data, hardware, software, or other materials that:

  • (i) Infringes upon or violates any patent, copyright, trade secret, trademark, or other intellectual property right of any third party.
  • (ii) Constitutes a defamation, libel, invasion of privacy, or violation of any right of publicity or other third-party right or is threatening, harassing, or malicious.
  • (iii) Constitutes phishing, pharming, or impersonates any other person or entity, or steals or assumes any person’s identity (whether a real identity or online nickname or alias).
  • (iv) Violates any applicable law, ordinance, rule, regulation, or treaty. All license rights granted in these API Terms are not sublicensable, transferable, or assignable unless otherwise stated in these API Terms.

9.2. As between Lordicon and API User, Lordicon shall have all intellectual property rights (including all patent, trademark, copyright, trade secret, and other proprietary rights) in and to the APIs and its documentation and specifications, and the services provided hereunder as well as all rights to use algorithms, methods of computation and data processed by Lordicon to measure API consumption, the Requests, downloads, or any other data of statistical nature necessary for proper functioning of Lordicon’s API or features thereof, including all applicable rights to use of patents, copyrights, trademarks, trade secrets, or other proprietary or intellectual property rights inherent therein or appurtenant thereto. All rights not expressly granted to API User herein are reserved to Lordicon and other entitled entities.

9.3. Developer App (excluding any Lordicon materials and intellectual property) is and shall remain the sole and exclusive property of API User, including all applicable rights to patents, copyrights, trademarks, trade secrets, or other proprietary or intellectual property rights inherent therein or appurtenant thereto.

9.4. You grant Lordicon a royalty-free license to reproduce and publicly display your company name, your Developer App name and/or logo for the purpose of promoting your Developer App and the API program on any website and social media accounts owned or controlled by or on behalf of Lordicon.

10. Termination

10.1. Both Parties can terminate API Terms at any time with notice at the end of a given monthly subscription period. This means that Services and API keys expire at the end of the notice period. The above does not release the API User from the obligation to pay all amounts incurred during the duration of the API Services. The subscription fee is non-refundable if the API User terminates the Agreement.

10.2. Lordicon has the right to terminate the Agreement and delete the API User access to the API with immediate effect in any event of the breach of the Agreement or separate agreements concluded with Lordicon, especially:

  • (i) Breach of license conditions.
  • (ii) Delay in any payment longer than 7 (seven) days.
  • (iii) Account takeover occurred or suspects fraud e.g. when any payment was reversed or chargeback was initiated.
  • (iv) Lack of compliance with applicable laws and third party’s rights). Such termination does not give rise to liability of Lordicon and the subscription fee is non-refundable.

10.3. For the time of verifying violations or in the event of a verified violation of the API Terms or Lordicon Terms of Service, Lordicon may also suspend access to the API for that API User without any liability to them.

10.4 Any termination of the Agreement means that the API license and the right to use Lordicon’s icons in the Developer App ceases automatically after the notice period (if applicable) or with immediate effect in case of such termination of the Agreement as well it means the API User access to the API is deleted. At this moment, the API User is obliged to delete all Lordicon’s files from their project and stop making them available to the End-Users.

10.5. The API User understands that such violation described in point 10.4 above gives rise to continuing irreparable injury to Lordicon inadequately compensable in damages at law, and Lordicon is entitled to seek and obtain immediate injunctive relief against the breach of any of the foregoing undertakings, in addition to any other legal remedies which may be available (including criminal liability for using icons without authorization on the basis of Polish Law of Copyright and Related Rights). The API User shall be responsible for all reasonable expenses (including attorneys’ fees) incurred by Lordicon in relation to such violation.

11. Indemnification

11.1. To the fullest extent permitted by law, you will indemnify and hold Lordicon, its affiliates, and any of their respective officers, directors, employees, agents, shareholders, licensors, licensees, assigns, or successors harmless against any claim, costs, losses, damages, liabilities, judgments, fees (including reasonable fees of attorneys and other professionals), and expenses arising out of or in connection with any claim, action or proceeding (any and all of which are “Claims”) by a third party arising out of: access to, or use of, any APIs by you, those acting on your behalf, your Developer App, or any of your End-Users; violation of these API Terms, or violation or infringement of any third-party right, including any intellectual property or other proprietary right, privacy right, or right of publicity, by you, those acting on your behalf, your Developer App, or any of your End-Users; the development, operation, maintenance, or use of your Developer Apps any content, data, technology, or materials provided or contributed by you, those acting on your behalf, your Developer App, or any of your End-Users.

11.2 The API User shall not settle any such claim in a manner that imposes any non-indemnified costs or otherwise adversely affects Lordicon’s rights without Lordicon’s prior written consent. The API User may join in defense with counsel of its choice at its own expense. If the API User does not assume the defense of any such claim within thirty (30) days after the date notice of such claim is given, Lordicon may defend against such claim in such manner as it may deem appropriate at the API User’s expense, including, without limitation, settling such claim, after giving notice to the API User.

12. Exclusion of Warranties Limitation of Liability

12.1. TO THE FULLEST EXTENT PERMITTED BY LAW:

  • YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE APIS AND ANY AND ALL ICONS IS AT YOUR SOLE RISK AND THAT THE APIS AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
  • LORDICON, ITS AFFILIATES AND LICENSORS, AND THEIR SUPPLIERS DO NOT REPRESENT OR WARRANT TO YOU THAT: (i) THE APIS WILL MEET YOUR REQUIREMENTS; (ii) THE APIS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (iii) THE APIS WILL BE ACCURATE, RELIABLE, COMPLETE OR OTHERWISE VALID; OR (iv) DEFECTS IN THE OPERATION OR FUNCTIONALITY OF THE APIS, INCLUDING ANY SOFTWARE, CODE, CONTENT, DATA, SUPPORT OR ANYTHING ELSE PROVIDED TO YOU AS PART OF OR IN CONNECTION WITH THE APIS, WILL BE CORRECTED.
  • ICONS OBTAINED THROUGH THE APIS ARE AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR OR YOUR END-USERS’ COMPUTER SYSTEM(S) OR DEVICE(S), LOSS OF DATA, OR ANY OTHER DAMAGE OR INJURY THAT RESULTS FROM ANY ASPECT OF THE APIS.
  • NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US, OR THROUGH OR FROM THE APIS WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE API TERMS.
  • LORDICON, ITS AFFILIATES AND LICENSORS, AND THEIR SUPPLIERS FURTHER EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH OF LORDICON, ITS AFFILIATES AND LICENSORS, AND THEIR SUPPLIERS, IS NOT RESPONSIBLE FOR LOST PROFITS, REVENUES, OR DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE. IN ALL CASES, TO THE FULLEST EXTENT PERMITTED BY LAW, LORDICON WILL NOT BE LIABLE FOR ANY SUCH LOSS OR DAMAGE WHETHER OR NOT LORDICON, ITS AFFILIATES AND LICENSORS, OR THEIR SUPPLIERS HAVE BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF ANY SUCH LOSSES OR DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, LORDICON IS ALSO NOT LIABLE FOR ANY DAMAGES THAT MAY RESULT FROM (I) REMOVING, MODIFYING, SUSPENDING OR TERMINATING ANY ASPECT OF THE APIS, INCLUDING (A) ANY OR ALL FEATURES, FUNCTIONS, OR VERSIONS OF ANY OF THE APIS, INCLUDING DATA AND CONTENT LORDICON MAKES AVAILABLE TO YOU; AND (B) ANY ACTIVITIES (PROVIDING SUPPORT OR MODIFICATIONS TO THE APIS) WITH RESPECT TO ANY SPECIFIC API USER, END-USERS OR DEVELOPER APP. IF THE ABOVE LIMITATION OF LIABILITY IS DEEMED INVALID BY THE COMPETENT COURT, THE TOTAL, CUMULATIVE LIABILITY OF LORDICON RESULTING FROM THESE API TERMS OR CONNECTED WITH IT SHALL BE LIMITED TO THE GREATER OF: (I) THE FEES PAID BY YOU FOR THE APIS IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; AND (II) $100. OTHERWISE, THE LIABILITY OF LORDICON IS EXCLUDED TO THE FULLEST EXTENT PERMITTED BY LAW; IT MEANS THAT IT IS LIMITED ONLY TO DAMAGES CAUSED BY INTENTIONAL FAULT OF LORDICON. 12.3. The abovementioned exclusion of warranties and limitation of liability may not apply to consumers and Sole traders.

13. Final Provisions

13.1. These API Terms constitute a non-exclusive agreement. You acknowledge that Lordicon may be developing and may develop in the future products or services that compete with the APIs, your Developer App, or any other products or services, and Lordicon has no obligation to make any of these products or services available to you.

13.2. If any provision of the API Terms is found to be illegal, unenforceable, or invalid in whole or in part for any reason, the validity and enforceability of the remaining provisions, or portions of them, will not be affected. Notwithstanding the foregoing, if such provision could be more narrowly drawn so as not to be invalid, prohibited, or unenforceable, it shall be so narrowly drawn without invalidating the remaining provisions of the API Terms or affecting the validity or enforceability of such provision.

13.3. The relationship of the API User and Lordicon established by these API Terms is that of independent contractors, and there is no joint venture, partnership, employment, or agency relationship created between you and Lordicon as a result of using Lordicon API.

13.4. Any notice, communication, or statement relating to the API Terms shall be done on the email address: api@lordicon.com, unless the written form is reserved in these API Terms or the Policies.

13.5. Any dispute arising under these API Terms will be resolved pursuant to the Governing Law and Jurisdiction and Venue sections of the Lordicon Terms of Service.
